Confidentiality Agreement

This Confidentiality and Principal Agreement (“Agreement”) is made and agreed to for the benefit of the (“Registered Principal”) and Bull Realty Incorporated (“Broker”).

Now therefore in consideration of the privileges granted to Registered Principal with respect to receiving certain confidential information, and other good and valuable consideration, the Registered Principal hereby agrees to the following:

I. Confidential Information:

Registered Principal will receive confidential information regarding available properties. Registered Principal agrees to not disclose with any person that the properties may be available for sale or lease, or that discussions or negotiations are taking place concerning a possible purchase or lease of the property, nor any terms, conditions, or other facts with respect to the property, including but not limited to tenant information, lease rates, lease expirations, income and expenses, and any such possible purchase, including the status thereof. The term “person” used in this agreement shall be interpreted broadly and shall include, without limitation, any corporation, company, partnership or individual other than parties to which Broker approves in writing. Registered Principal agrees to not contact the property owner, other agents, the management, the tenants, the lender, the vendors, the insurers, the employees, or the customers of any business at the property regarding properties on BullRealty.com.

II. Acting as a Principal:

Registered Principal hereby warrants that it is acting as a principal only, and not as a broker or agent, regarding contemplated transactions of properties on BullRealty.com. Receiving party acknowledges and agrees that Bull Realty, Incorporated - GA License # H-20209, will act in an agency capacity as a transaction agent for the Registered Principal and will be used as the sole broker or agent on the Registered Principals side of the transaction in connection with the purchase or lease of properties identified on BullRealty.com. (If Registered Principal desires to be represented as a client by Bull Realty, Inc, another agreement is required.) Bull Realty, Inc shall be paid by Seller/Landlord or Seller/Landlords agent. Registered Principal agrees to not be involved in any arrangement to lease or purchase properties on BullRealty.com, in whole or part, as a lender, partner or in other manner, unless Bull Realty, Incorporated is the transaction agent for the buyer or tenant paid the normal and customary commission by the Seller/Landlord. Registered Principal reserves the right to involve any attorney or other advisor in the transaction provided said party is paid by the Registered Principal, and said party has agreed in writing to this confidentiality agreement.

III. Cancellation:

Registered Principal or Bull Realty, Inc may cancel this agreement at any time by written notice to the other party. Properties on BullRealty.com at time of cancellation or before shall be controlled by this agreement. Properties placed on the site after cancellation shall not be controlled by this agreement.

This Agreement shall be governed and construed in accordance with the laws of the State of Georgia.
